Fair Use Policy

This Fair Use Policy (the "Policy") forms part of the Master Services Agreement (the "Agreement") between Mesa Intelligence, LLC (dba "Mobasi," "we," "us," or "our") and the customer identified in the applicable Order Form ("Partner"). The purpose of this Policy is to ensure the fair, reasonable, and intended use of Seats licensed under the Agreement, and to preserve consistent performance and availability of Mobasi for all customers. Capitalized terms not defined in this Policy have the meanings given in the Agreement.

1. Purpose of a Seat

A Seat is intended to be assigned to a single, named individual (an "Authorized User") who uses Mobasi to perform investigative work in the ordinary course of that individual's duties, and includes the Investigation Capacity reasonably required for that use. A Seat is not intended to serve as a shared, pooled, or service account for multiple individuals, teams, or departments, and is not intended for high-volume automation, batch processing, or resale of Output.

Multiple Authorized Users may access Mobasi through a single installation of the Local Module on a shared workstation, provided that each such individual holds a Seat. Mobasi may limit the number of installations associated with a Seat.

2. Fair Use

Usage is considered fair when it is consistent with the ordinary investigative workload of a single Authorized User and with the size and scope of Partner's business as reflected in the number of Seats purchased. Nothing in the Agreement or this Policy entitles Partner to unlimited processing or to any particular quantity or allocation of underlying computational resources.

The ingestion and analysis of evidence that contains malicious code, hostile instructions, or similar content is an ordinary part of investigative work and does not, by itself, constitute a violation of this Policy.

3. Prohibited Practices

The following practices are inconsistent with the Agreement and constitute violations of this Policy:

• Seat Sharing. Use of Mobasi by any individual who does not hold a Seat, or the sharing of credentials or access among individuals.
• Rotating Users. Reassigning a Seat among different individuals more frequently than the Agreement permits, or otherwise reassigning Seats so as to avoid purchasing additional Seats.
• Seat Consolidation. Using one Seat, or a number of Seats fewer than the number of individuals performing the work, to process the caseload of a team, practice, or organization.
• Automation to Bypass Licensing. Using scripts, bots, or other automated or bulk processes under a Seat to submit matters, prompts, or evidence that are not being worked by the Authorized User, or to simulate multiple users.
• Resale. Reselling, sublicensing, or providing access to Mobasi or its Output to third parties as a service.
• Circumvention. Attempting to bypass Seat limits, usage controls, metering, access controls, or data protections, or using Mobasi to attack Mobasi, its service providers, or any third party.
• Excessive Use. Usage by an Authorized User that, in Mobasi's reasonable judgment, materially exceeds the usage of similarly situated Authorized Users over a reasonable period, negatively affects the performance or availability of Mobasi for others, or materially exceeds the usage reasonably expected for the size and scope of Partner's business.

4. Enforcement

Mobasi reserves the right to monitor usage patterns and to audit Partner's use of Seats to confirm compliance with this Policy. If Mobasi determines, in its reasonable discretion, that Partner is in violation of this Policy, Mobasi will notify Partner's Account Administrator in writing, and the parties will confer in good faith. If the violation is not remedied within fourteen (14) days after such notice, Mobasi may (a) require Partner to purchase additional Seats reflecting actual usage; (b) reasonably throttle or queue processing; and (c) in cases of material or repeated violation, suspend Investigation Capacity. Mobasi will notify the Account Administrator upon any such suspension.

Suspension of Investigation Capacity does not affect Partner's access to Partner Data, existing Output, or export functions within the Local Module.

Nothing in this Section limits Mobasi's ability to throttle, queue, or temporarily suspend usage immediately, without prior notice, where Mobasi reasonably believes such action is necessary to protect the security, integrity, or availability of Mobasi or its service providers. Mobasi will notify Partner as soon as practicable following any such action.

5. Usage Information and Renewal

Mobasi will make usage information for Partner's Seats available to the Account Administrator upon request, and may notify Partner as usage approaches the levels for which Partner's Seats were sized. Mobasi does not invoice for usage during a Subscription Term except as provided in the Agreement. Prior to each renewal, the parties will review actual usage in good faith and agree the number of Seats for the renewal term. Unused Investigation Capacity does not carry over between Subscription Terms.

6. Updates to this Policy

Mobasi may update or modify this Policy from time to time on not less than thirty (30) days' notice. No update will materially reduce Partner's rights under the Agreement during the then-current Subscription Term.

7. Anticipated High Usage

If Partner anticipates unusually high or specialized usage, Partner is encouraged to contact Mobasi at contact@mobasi.ai to discuss an appropriate Seat count or a custom arrangement.
